中国最大海上石油及天然气生产企业中国海洋石油总公司（中海油）昨天宣布，同意以大约21亿美元收购加拿大油砂开发商OPTI Canada。

中海油表示，交易预计在今年第四季度完成。

中海油将以3400万美元入股OPTI，并以约20亿美元收购其债务。早前，OPTI的优先债投资者同意债转股，公司于7月14日在加拿大申请破产保护。

中海油总裁杨华表示，此交易将加强公司在加拿大油砂业的地位，又称相信所购资产的上行潜力将有助长期促进本地能源供应和公司的生产增长。

富邦证券投资信托分析师黄静（音译）表示，中海油计划汲取OPTI的经验，最终在中国自行开发油砂。他表示加拿大有丰富的油砂资源，而OPTI经营这类项目有丰富经验，中海油入股是为了学习相关技术及获取操作经验。

CNOOC buys bankrupt Canadian oil sands firm

China National Offshore Oil Corporation (CNOOC (SEHK: 0883)) has agreed to buy Canadian oil sands developer OPTI Canada for about US$2.1 billion, it was announced yesterday.

CNOOC, China's largest offshore oil and gas producer, said the transaction was expected to be completed in the fourth quarter of this year.

CNOOC will buy OPTI's shares for US$34 million and acquire its debt of a little more than US$2 billion. On July 14 OPTI filed for bankruptcy protection in Canada after its senior bondholders agreed to a debt-for-equity swap.

"The transaction strengthens our Canadian presence in the oil sands business. We believe that upside potential of the assets will facilitate local energy supply and our production growth in the long term," CNOOC chief executive Yang Hua said.

Huang Jing, an analyst at Fubon Security Investment Trust, said that CNOOC planned to eventually learn enough from OPTI to develop oil sands in China itself. "Canada has rich oil sands resources," he said. "They have lots of experience in running this kind of project. For CNOOC, they participate in stakes in order to learn the technology and gain operational experience."
